Client Service Agreement · 2026

This Client Service Agreement (the “Agreement”) is entered into between Cherry Creek Nanny Agency, LLC (“Agency” or “CCNA”) and the family identified in the accompanying application (“Client”). This Agreement governs all placement and recruiting services provided by the Agency. By engaging the Agency’s services, Client accepts all terms herein.
AGREEMENT OVERVIEW
1 — Parties & Nature of Services
Cherry Creek Nanny Agency functions as a professional household recruiting and placement firm. The Agency provides services including intake consultation, candidate sourcing and screening, personal interviews, reference verification, background check facilitation, trial coordination, placement guidance, and work agreement facilitation. Placement fees compensate the Agency for these professional services — they are not payment for a specific individual and are not contingent solely on candidate acceptance.
Engagement of the Agency’s services, submission of a parent application, payment of any fee, verbal authorization to begin a search, or participation in any aspect of the placement process — including but not limited to candidate introductions and interviews — constitutes Client’s acceptance of all terms of this Agreement, regardless of whether a formal signature has been obtained. A signed agreement is preferred and required where possible, but Client’s conduct in proceeding with services shall be deemed full acceptance of these terms.
The Agency is not a party to any agreement between Client and Candidate. Client is solely responsible for all employment decisions, compensation, tax withholding, workers’ compensation, and household employment compliance following Hire.
A Hire occurs upon mutual acceptance — specifically when a work agreement or offer is executed between Client and Candidate. A Hire is NOT defined as the first workday or completion of a trial period. The full placement fee is earned and due upon Hire.
VETTING PROCESS
2 — Background Check & Candidate Screening
All presented candidates have been personally interviewed by the Agency. Formal background screenings are conducted on selected finalists progressing toward hire, at the Agency’s discretion based on placement stage. One (1) comprehensive background check is included per placement engagement.
Background Check Disclaimer: Background checks are conducted by third-party providers and reflect information available at the time of the check. The Agency makes no warranty regarding completeness or accuracy. The ultimate hiring decision rests solely with Client.
PLACEMENT FEES
3 — Fee Structure & Placement Tiers
Client agrees to pay CCNA fees as set forth below. All fees compensate the Agency for professional recruiting and placement services performed throughout the search.

Annual compensation calculation: Hourly rate × guaranteed weekly hours × 52 weeks. Example: $30/hr × 40 hrs × 52 = $62,400 annual — 15% fee = $9,360.
Specialty Standard (17%, min $8,000): Applies when a family has specialty preferences but retains meaningful flexibility — e.g., prefers Spanish-speaking nanny but open to conversational fluency, or interested in Montessori-influenced care without requiring formal certification.
Specialty Advanced (20%, min $8,500): Applies when requirements are firm and non-negotiable — native-speaker fluency only, specific certification (AMI/AMS, RIE, NCS), clinical special needs experience, strict cultural/religious match, or hybrid HM role where household management is primary. Tier confirmed by coordinator during intake.
ON-CALL SITTER SERVICES
3A — On-Call Sitter Services
In addition to full-time and part-time placement services, Cherry Creek Nanny Agency offers On-Call Sitter Services for families requiring flexible, short-notice childcare coverage. Two structures are available:
Annual Sitter Membership ($2,500/year): A one-time $150 non-refundable search initiation fee begins the sitter matching process, followed by a $2,500 annual membership fee. Membership provides access to a curated roster of 2–4 vetted, background-checked on-call sitters for 12 months from activation. Sitters are paid directly by Client at the agreed hourly rate per booking. The $150 initiation fee and annual membership fee are non-refundable once paid.
Daily On-Call Booking ($50/booking): A one-time $150 non-refundable search initiation fee applies, followed by a $50 per-booking agency fee for each individual sitter booking. Sitters are paid directly by Client at the agreed hourly rate. Subject to sitter availability. Minimum booking: 3 hours. 24–48 hours advance notice recommended.
Structure Election & Non-Downgrade Policy: Selection of the Annual Membership or Daily Booking structure is made at the time of search initiation and is binding once the $150 search initiation fee has been submitted. The Agency begins active recruiting immediately upon activation. Requests to downgrade from an Annual Membership to a Daily Booking structure after search activation will not be accommodated, as recruiting resources have already been committed on the Client’s behalf. The $150 search initiation fee and any membership fees paid are non-refundable regardless of structure change requests.

Client shall select one of the following two payment structures at commencement. Both result in the same total placement fee.

WITHDRAWAL POLICY
5 — Earned Recruiting Fees & No Flat Cancellation Fee
Cherry Creek Nanny Agency does not charge a flat cancellation fee. If a search is paused, withdrawn, or abandoned, Client owes earned recruiting fees for phases completed at the time of withdrawal — regardless of which payment structure was selected.
Option A — Withdrawal: No milestone payments have been made, so the Agency will invoice the earned recruiting fee for the last completed phase. The $350 search initiation fee is non-refundable and is not applied toward earned fees.
Option B — Withdrawal: Milestone payments already made satisfy the earned recruiting fees for completed phases — no additional invoice issued. Any phase not yet invoiced at time of withdrawal is not owed.
FINANCIAL TERMS
6 — Payment Terms & Late Payment
Search Initiation Fee: $350 non-refundable fee due upon signing under Option A.
Due Upon Hire: Under Option A, full placement fee is due immediately upon Hire. Under Option B, any remaining balance above milestone total is due immediately upon Hire, prior to Candidate’s start date.
Cleared Funds Required: ACH transfers and checks are not considered received until successfully cleared and deposited. Pending transfers do not constitute completed payment.
Start Date Confirmation: Start date confirmation may be withheld pending receipt of cleared funds. The Agency recommends initiating payment within 48 hours of confirmed Hire.
Late Payment: Fees not received by the due date accrue interest at 1.5% per month. Client is responsible for all reasonable collection costs and attorneys’ fees.
Credit Card Authorization: By providing a payment method, Client authorizes the Agency to charge outstanding fees with 48 hours’ prior notice if fees remain unpaid past their due date.
GUARANTEE & SEARCH TERMS
7 — Replacement Guarantee, Search Pauses & General Terms
Replacement Guarantee: For qualifying placements, the Agency provides a replacement guarantee per the fee schedule, contingent upon original fee paid in full and cleared.
Guarantee Exclusions: Coverage does not apply if Candidate’s departure is due to Client conduct, material role changes after hire, or failure to pay in full.
No Flat Cancellation Fee: Upon pause or withdrawal, Client owes earned fees for completed phases only. Amounts vary by how far the search progressed — see Section 5.
Search Commitment: Client agrees to respond to Agency communications within two (2) business days and promptly notify the Agency of any material changes to the role, household, or timeline.
Search Inactivity: A search is deemed inactive if Client fails to respond for thirty (30) or more consecutive calendar days without prior written notice. May be treated as paused or abandoned at Agency’s discretion.
Material Role Changes: Placement fees are calculated on the role as originally defined. Material reductions in hours, compensation, or duties do not reduce the fee.
Candidate Protection — 24 Months: All Agency-introduced candidates are protected introductions for 24 months. If Client hires any introduced candidate during this period — directly or indirectly — the full applicable placement fee is immediately due.
Non-Solicitation: Client agrees not to directly solicit Agency-introduced candidates outside the formal process during the 24-month protection period. Violation entitles Agency to full applicable placement fee as liquidated damages.
Trial Periods: Any compensated trial, working interview, or trial day constitutes a Hire and triggers the full applicable placement fee.
Confidentiality: All candidate profiles, resumes, references, and Agency materials are confidential. Client may not share such materials without written Agency consent.
Dispute Resolution: Parties agree to attempt good-faith resolution before initiating legal proceedings.
Governing Law: This Agreement is governed by the laws of the State of Colorado. Jurisdiction and venue: Arapahoe County, Colorado.
Severability: If any provision is held invalid or unenforceable, remaining provisions continue in full force.
Entire Agreement: This Agreement supersedes all prior discussions and agreements, written or oral. Amendments require a written instrument signed by both parties.
Client Conduct: Client agrees to treat all referred candidates with professionalism and respect. Agency reserves the right to discontinue services for inappropriate conduct.
LEGAL PROTECTIONS
8 — Indemnification, Disclaimers & Additional Protections
Indemnification by Client: Client agrees to indemnify, defend, and hold harmless Cherry Creek Nanny Agency, LLC and its owners, coordinators, and agents from any claims arising out of: (i) Client’s misrepresentation of the role or household; (ii) Client’s conduct toward candidates or staff; (iii) Client’s failure to comply with household employment laws, tax obligations, or workers’ compensation following placement; or (iv) any employment-related claim by a placed candidate arising from Client’s actions after Hire.
No Guarantee of Placement: The Agency does not guarantee placement within any timeframe or at all. Fees compensate for professional recruiting services rendered — not for a guaranteed outcome.
Referral Partner Disclosure: The Agency may recommend third-party providers (e.g., payroll/tax services) and may receive compensation for referrals. Client is under no obligation to use any recommended provider.
Force Majeure: Neither party shall be in breach to the extent failure results from circumstances beyond reasonable control, including natural disasters, public health emergencies, or governmental actions. Force majeure does not excuse payment obligations for services already rendered.
Key Terms Acknowledged
By signing below, Client confirms they have read and expressly acknowledge the following:
• Placement fees are earned for professional services performed — not for a specific candidate or guaranteed outcome. Fees are non-refundable once earned.
• There is no flat cancellation fee. If a search is withdrawn, Client owes earned fees for completed phases only — amounts vary based on search progress.
• The 120-day replacement guarantee is contingent upon the original fee being paid in full in cleared funds prior to the Candidate’s start date.
• All Agency-introduced candidates are protected introductions for 24 months. Hiring any introduced candidate during this period triggers the full placement fee.
• Background checks are conducted by third-party providers and have inherent limitations. The Agency does not warrant completeness or accuracy. The hiring decision rests solely with Client.
• Governing law is the State of Colorado and jurisdiction lies in Arapahoe County, Colorado.
